When your E2 Visa Business Changes:

Requirement 1. – As a treaty investor, you must be coming to the United States to invest in a new or existing enterprise.

U.S.C.I.S (US Citizenship and immigration Services) defines an E-2 investment as the placing of certain capital, (including funds and other assets), at risk in the commercial sense with the end objective of generating a profit. Your investment may be for the purpose of purchasing a pre-existing business. establishing a new business venture. Regardless of which, you must demonstrate that the capital you are investing is substantial.

Requirement 2Your investment must be in a bona fide enterprise and may not be marginal.

An investment that is considered ‘bona fide’, is an enterprise that is a real, active commercial or entrepreneurial undertaking which produces tangible services or goods for profit. Such enterprise cannot be an idle investment held for ‘potential appreciation’, such as undeveloped land or stocks held by an investor who has no intent to direct the enterprise.

A marginal enterprise is considered one that will not generate more than enough income to make a significant economic contribution or provide a minimal living for you and your family.

Upon approval of an E-2 investment, the investor is permitted to work solely at the company he/she founded (or Purchased) and the company must administer the activities previously specified on the application at the time of submission. Of course there are instances where a business owner may want to expand or change the E-2 business. It is then, that the question arises of whether or not the investor must officially address this change in status, structure, etc.

If a business change is a major one, the investor should ask from the Consulate for an approval for this change in business activities. This process differs depending on the Consulate, but it involves emailing the Consulate directly find out what their individual criteria is. Some consulates just ask petitioners based on past requests, to send in evidence of the new business (eg. New activities, business plan, etc.) and based on that evidence they approve or deny the change.

The consulate could ask you to refile your E-2 application, but it depends on the changes that occurred or are occurring. It must be said that this request is only needed if the business change is substantial.

For example, if you have an E-2 visa approved for a restaurant and then you expand your restaurant business to include a bar. It is unlikely that your business has changed enough to warrant a re-classification. However, if you were initially approved as a wedding photography business and you started an auto repair shop in the back, then this would clearly represent a substantial change in business.

Filing your change with the USCIS in the United States is also another possibility. This again, is only done when there has been a ‘substantive change’ in the business. A substantive change is defined by USCIS as follows:

“A fundamental change in the employing entity’s basic characteristics, such as a merger, acquisition, or sale of the division where the alien is employed.” Is considered ‘Substantive change’.

When the USCIS deems the entity as having undergone ‘substantive change’ then filing of a new Form I-129 Application will become necessary. The Filing of Form I-129 with the USCIS facilitates the process of seeking and obtaining approval of a ‘substantive change’. In this case the E-1/E-2 Classification Supplement, the fee of $325 as well as an appropriate explanation and supporting documentation must also be provided at the time of the filing.

A ‘substantive change’ in business activities is the key here. When looking at the new aspect(s) of your business, can you make a rational link from the new business to the current one. If you can make this rational link, then request for amendment may not be required.

When drafting your business plan and describing your business and submitting your E-2 application, keep the above, key factors in mind.

For example, the primary business activity in your business plan may be: wedding photography, but then may also describe additional services, like; ‘wedding consultant’, ‘nutrition planning’ for weddings, etc.

The consideration of future possibilities when you submit your application, may eliminate the need to get additional approvals through those government channels.

A new business model is catching on quick and you can be a part of it. It is called drop-ship.

What is drop-ship? Drop ship is a simple way for people to start a business when they have no product to sell. I have no doubt you have seen drop-ship products for sale. Maybe you have even bought one. There is nothing wrong with that. All you are doing is helping the economy.

Drop-ship is when a business owner, such as yourself go into an “agreement” with a supplier or distributor. All you do is advertise and sell the product for the supplier. The consumer purchases the product off of you for the price you set. Once the order has been made you forward the order to the supplier along with what the price is you are purchasing the product for. The supplier ships the product directly to the consumer. You never see the product. You are a middle man so to speak.

Still confused? If you are don’t worry, I was too when I first learned about drop-ship. Have you ever ordered something from say Sears, or JC Penney for delivery and they say “it will ship directly from the manufacturer?” Well that is drop-ship.

“But how do I make money from drop-ship”? That was the question I asked myself. So I decided to give it a shot and see what happened. Here is how it worked when I tested drop-ship. I would put up an auction on eBay for product XYZ. I set the product price at $9.95. Shipping was set at $4.95. That meant total price was $14.90 the consumer would pay me. Now for product XYZ my cost from my supplier was $1.95 plus $7.95 for shipping. I was paying $9.90 to my supplier. This left me with a $5.00 profit for each sale.

I know you are probably thinking the same thing I did, “Five bucks, big deal”. Five dollar profit isn’t much. But if you have your own website and can generate enough traffic to sell 10 XYZ (that is $50 profit a day) what would you say then? At $50 a day with 30 days in a month, basic accounting calendar, that is $1500 a month. For most of us that is not enough for us to live off of. For most though it should be enough to make a house payment.

Drop-ship is one way to get into business. You must be cautious if you begin looking for a supplier to use the drop-ship business model. Your good name will be attached to that supplier. If the supplier does not make good on his end of the business transaction the consumer will be looking to you to fix the problem or refund them their money. Plus they will smear your name all over the internet. Ever notice everyone likes to write negative reviews and not many positive reviews? It will happen though. Picking a supplier is just like buying a new car. Shop around and talk to the prospective suppliers before you commit. It could save you big dividends in the long run.

These are the brief steps.

  1. Search availability of the new company name at Arizona corporation commission from the link below.
  2. Filing the required documents to register the company as s-corporation. If you prefer to start as LLC, you can do so by choose different corporation type and fee schedule.
  3. Download the filing forms from the link below
    • Covert Sheet
    • Articles of Incorporation for Domestic Corporations
    • Certificate of Disclosure for Business Corporations
    • $95 check write to Arizona Corporation Commission
  4. If the document is filed with Expedited process ($60 + $35), it will take about a week to get the Article of corporation document return ($5/each). Otherwise, it will take about 55 days.
  5. Once received the article of corporation, publish the article in 60 days. AZ capital time can complete the whole process for about $91, including mail the published copy to AZ corporation commission. Of course, there are many public newspaper can do it for you. Find the best one for your need.
  6. Once the process is completed, call IRS.gov to get a new EIN (employee Identify Number)

  10. Apply a new business credit card

  12. Register the desired domain name at Godaddy.com, which contains reasonable price.
  13. Find a good hosting company.
  14. Setup open source shopping cart from Zen-Cart.com. It’s FREE!
  15. Customize the logo and layout
  16. Input the products
  17. Setup Paypal business account and link to the shopping cart (Paypal IPN)
  18. Get a SSL certification either on your own or with your hosting company. Without SSL, Paypal won’t accept your credit card processing request.

The time to complete the entire corporation filing is about a month. Now. It’s up to your to run the business. Few notes to remember.

AZ requires to file the tax return monthly. Fedral requires to file tax return quarterly. Do well research on your product supplier. Many drop ship companies charges your extra amount if want to cancel your relationship with them. Also be aware of where the product was made and shipped.
